Breach of warranty claim

Our client (the Defendants) acquired the issued share capital of a company that supplied education schemes funded by the European and Skills Funding Agency or under various European Social Fund projects. The sellers have issued proceedings against the Defendants seeking payment of deferred consideration. In response, the Defendants have advanced counterclaims within the proceedings. We were asked to provide opinions in relation to (a) the quantum of loss associated with the alleged Operational Breaches of Warranty (b) the quantum of loss associated with the alleged Financial Breaches of Warranty (c) the quantum of loss for alleged breaches of warranties and (d) the quantum of loss for alleged untrue Representations made.
